The Opportunity
Arena is a fast-moving technology business operating across multiple international jurisdictions. We're looking for a Legal & Corporate Manager to join our team and take ownership of the legal, compliance, governance and administration of our global corporate structure.
Role Overview
The Legal & Corporate Manager will serve as the Group's primary in-house legal resource and Company Secretary, providing comprehensive legal, governance and regulatory support to the leadership and operational brand teams. The role spans both transactional and advisory legal work, company secretarial obligations, and the development of internal governance frameworks.
This is a broad, hands-on role suited to a qualified lawyer who thrives in a commercial, entrepreneurial environment and is comfortable managing a diverse legal workload from drafting and negotiating commercial agreements to maintaining statutory registers and supporting regulatory submissions.
Key Responsibilities
1. In-House Legal Advisory
Draft, review and negotiate a wide range of commercial agreements including partnership agreements, licensing deals, supplier contracts, leases, technology agreements
Provide timely, pragmatic legal advice to the Board and senior leadership on all matters affecting the Group and its brands.
Manage and instruct external legal counsel on specialist matters (litigation, employment, IP, regulatory), ensuring cost-effective use of external resource.
Oversee IP protection across Arena's brand portfolio including trade marks, domain names and brand licensing arrangements.
Advise on employment law matters in conjunction with HR, including executive contracts, settlement agreements, and disciplinary matters.
Manage any disputes, pre-litigation correspondence and claims, including liaising with insurers where relevant.
2. Company Secretarial Duties
Act as Company Secretary for Arena Entertainment Group and its subsidiary entities, ensuring compliance with all statutory obligations under the Companies Act and equivalent legislation in relevant jurisdictions.
Maintain and update statutory books, registers of directors, shareholders, persons with significant control (PSC), and other required records.
Organise and administer Board and committee meetings including preparing agendas, drafting minutes, resolutions, and board packs.
Manage filings with Companies House (or equivalent) including annual confirmation statements, director appointments/resignations, and share allotments.
Support and co-ordinate any shareholder communications, AGM/EGM administration, and capital events.
Maintain and administer the Group's corporate structure chart, including management of any SPVs or holding entities.
3. Corporate Governance
Develop, implement and maintain the Group's corporate governance framework, including Board governance policies, conflicts of interest protocols, and delegation of authority matrices.
Support the Board in discharging its fiduciary duties and ensure directors receive appropriate induction and ongoing governance guidance.
Maintain and update the Group's suite of internal policies including data protection, anti-bribery, gifts and hospitality, whistleblowing, and codes of conduct.
Coordinate with external auditors and advisors on governance-related matters during year-end and other reporting cycles.
Drive a culture of legal and regulatory compliance across the business, providing training and updates to staff as needed.
4. Regulatory & Licensing Compliance
Support and manage gaming licence applications, renewals, and variations across applicable jurisdictions, in coordination with compliance and operations teams.
Act as a liaison with gaming regulatory bodies, responding to enquiries and managing regulatory correspondence.
Advise on AML (anti-money laundering), KYC (know your customer), and responsible gambling obligations as they relate to operational brand activity.
Monitor regulatory developments across the gaming, digital assets and hospitality sectors, providing timely legal updates to the Executive team.
Support the Group's compliance function in relation to GDPR, data protection obligations, and ICO interactions.
5. Crypto, Digital Assets & Emerging Technology (Advantageous)
Advise on the legal and regulatory framework applicable to the Group's crypto-integrated products and digital asset strategies, including token structures, wallet integrations, and payment processing.
Monitor and interpret evolving digital asset regulation across relevant jurisdictions (UK FCA, EU MiCA, and others).
Support legal due diligence and structuring in relation to any blockchain, NFT, DeFi or crypto-adjacent business initiatives.
Liaise with external crypto and fintech counsel on specialist matters as required.
Person Specification
Essential Qualifications & Experience
Qualified solicitor, barrister or equivalent (England & Wales or other recognised jurisdiction); minimum 5 years PQE.
Demonstrable in-house or private practice experience covering commercial law, corporate governance, and company secretarial work.
Experience of Company Secretarial duties with strong working knowledge of the Companies Act 2006.
Proven track record of drafting, reviewing and negotiating complex commercial agreements independently.
Experience in a regulated sector gaming, financial services, media, or hospitality strongly preferred.
Comfortable advising at Board level and engaging directly with senior stakeholders.
Advantageous Experience
Knowledge of gaming regulations or equivalent licensing regimes.
Familiarity with crypto / digital asset regulation FCA registration, MiCA, DeFi legal frameworks, token classifications.
Experience managing multi-jurisdictional corporate structures and cross-border legal matters.
Background in M&A, investment, or corporate finance transactions in the entertainment or gaming space.
Knowledge of data protection law (UK GDPR / EU GDPR) and ICO compliance.
